Please read these Terms carefully before using Big Break. By accessing or using the platform, you agree to be bound by these Terms.

01Welcome to Big Break

These Terms of Use (or "Terms") govern your use of Big Break, except where we expressly state that separate terms apply. By using Big Break, you agree to an agreement between you and Big Break Inc.

ARBITRATION NOTICE: YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

02The Big Break Platform

We provide a comprehensive creative economy platform connecting Creatives with Curators. Big Break is a creative services marketplace where Creatives can showcase their work, offer professional services, and connect with clients who need creative talent.

Big Break Reserve ("BBR"): We operate Big Break Pay in conjunction with The Reserve, a secure trust account that holds project funds and releases payment to Creatives only after work is approved by the Curator.

Platform services and support: We provide project management tools, communication features, dispute resolution support, and customer service to help Creatives and Curators work together effectively.

03How Our Service Is Funded

The Big Break platform charges a 10% platform service fee on all projects. This fee covers payment processing through Big Break Reserve, contract generation, dispute resolution, and platform operations.

Example: For a $5,000 project, Big Break charges a $500 platform fee (10%), and the Creative receives $4,500 (the "Net Fee").

04Who Can Use Big Break

You must be at least 16 years old (or the age of majority in your jurisdiction). You must have the legal capacity to enter into binding contracts. You must not be prohibited from using our Service under applicable law. We must not have previously disabled your account for violation of law or any of our policies.

05How You Can't Use Big Break

You can't impersonate others or provide inaccurate information. You can't do anything unlawful, misleading, or fraudulent. You can't interfere with or impair the intended operation of the Service. You can't attempt to create accounts or collect information in unauthorized ways. You can't sell, license, or purchase any account or data obtained from us. You can't post someone else's private or confidential information. You can't circumvent Big Break Pay & The Reserve or platform fees. All platform transactions must use The Big Break Reserve — you may not arrange payment outside The Reserve to avoid platform fees.

06Permissions You Give to Us

We do not claim ownership of your content, but you grant us a license to use it to operate and improve the platform. Nothing changes about your rights in your content.

You give us permission to display your name, profile information, portfolio pieces, and information about completed projects to help connect you with opportunities.

You agree that we may provide updates, improvements, and modifications to the Service.

07Services Agreements

When a Curator hires a Creative for a project through Big Break, the parties enter into a Big Break Services Agreement. Big Break is a platform service provider and is not a party to Services Agreements. We facilitate agreements between Creatives and Curators but are not responsible for the performance of either party.

08Content Removal and Account Termination

We can remove any content or information you share on the Service if we believe that it violates these Terms of Use, or we are permitted or required to do so by law.

When you request to delete content or your account, the deletion process will automatically begin no more than 30 days after your request. Deletion may take up to 90 days due to technical limitations or legal obligations.

09Who Is Responsible if Something Happens

Our Service is provided "as is," and we can't guarantee it will be safe and secure or will work perfectly all the time. We aren't responsible for the actions or conduct of other users.

Our responsibility for anything that happens on the Service is limited as much as the law will allow. You agree to defend and hold us harmless from claims arising out of your misuse of the platform.

10How We Will Handle Disputes

Except as provided below, you and we agree that any cause of action or dispute between you and us will be resolved by binding arbitration rather than in court. You may bring claims in small claims court as an alternative.

Governing law: The laws of the State of Texas govern these Terms to the extent not preempted by federal law.

You can opt out of this arbitration provision within 30 days of agreeing to these Terms by emailing legal@bigbreakhq.com.

11Updating These Terms

We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. We will notify you before making changes and give you an opportunity to review them.
